Please read these Terms of Service carefully before using the ICON Agility Services website or enrolling in any of our programs.

1. Acceptance of Terms
By accessing or using the ICON Agility Services website located at www.iconagility.com (the "Site"), registering for a course, or engaging our consulting or workforce development services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use the Site or our services.
ICON Agility Services reserves the right to modify these Terms at any time. Continued use of the Site or our services after any such changes constitutes your acceptance of the revised Terms.
2. Services
ICON Agility Services provides agile training courses, professional certifications, job consulting, and workforce development programs ("Services"). Specific terms, schedules, and deliverables for each Service are described on the applicable product or service page and in any separately executed agreements or statements of work.
We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice where practicable.
3. Accounts and Registration
Certain features of the Site or Services require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must be at least 18 years of age to create an account or purchase Services. By registering, you represent that you meet this requirement.
ICON Agility Services reserves the right to suspend or terminate any account that violates these Terms or is associated with fraudulent activity.
4. Payments and Fees
Fees for courses and services are listed on the Site and are subject to change. All fees are stated in U.S. dollars and are due at the time of registration unless otherwise specified in a written agreement.
Payments are processed through third-party payment providers. By submitting payment information, you represent that you are authorized to use the payment method provided. ICON Agility Services does not store full payment card details.
5. Cancellations and Refunds
Cancellation and refund eligibility depends on the specific course or service purchased:
- Instructor-led courses: Cancellations made more than 10 business days before the course start date are eligible for a full refund or credit toward a future course. Cancellations within 10 business days of the start date are not eligible for a refund but may be transferred to another scheduled session.
- On-demand / self-paced courses: Refunds are available within 7 days of purchase, provided that less than 20% of the course content has been accessed.
- Consulting and workforce development engagements: Refund and cancellation terms are governed by the applicable statement of work or contract.

6. Intellectual Property
All content on the Site and within our course materials — including text, graphics, logos, images, video, audio, and software — is the property of ICON Agility Services or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.
Your enrollment in a course grants you a limited, non-exclusive, non-transferable license to access and use course materials for your personal, non-commercial educational purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any course materials without our prior written consent.
7. User Conduct
When using the Site or our Services, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any portion of the Site or its related systems
- Transmit any unsolicited or unauthorized advertising or promotional material
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Interfere with or disrupt the integrity or performance of the Site or its services
- Share your account credentials or course access with unauthorized third parties
- Scrape, copy, or harvest content from the Site using automated means
8. Third-Party Links and Services
The Site may contain links to third-party websites or integrate third-party services (such as payment processors, video platforms, or scheduling tools). ICON Agility Services is not responsible for the content, privacy practices, or terms of any third-party sites or services. Links are provided for convenience only and do not constitute an endorsement.
9. Disclaimers
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ICON AGILITY SERVICES DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Completion of a training course does not guarantee employment, certification by a third-party certifying body, or any specific professional outcome. Certification examinations are administered by independent organizations and are subject to their respective requirements and fees.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ICON AGILITY SERVICES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ICON AGILITY SERVICES’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ICON AGILITY SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless ICON Agility Services and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of another party.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Missouri.
Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least 30 days following written notice of the dispute.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ICON Agility Services with respect to your use of the Site and Services, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
